State Specific Question About: TEXAS (TX)

We are thinking about doing a portfolio loan to wrap a few SFH in that one loan. Lender asked as to form a LLC to carry the loan. I checked online and it seems it is possible to DIY one online for $300. I called a couple of attorneys, their price is around $1,000-$1,500. I am tempted to just do it myself to save the money. Can anyone tell me the potential problems that I may incur if I do it myself? Things I am not quite sure is 1. How to create a company operation agreement 2. How do I decide if I need to make the LLC a member managed or manager manged? Any help would be greatly appreciated! --47.187.xx.xx

I did the formation of the first LLC using "MyLLC", and then did the second LLC by myself using the Florida state website. It's not hard at all. But I had single member LLCs. I didn't use a specialized operating agreement because it was just me alone.

The lawyers we talked to said (not unexpectedly) that you need a lawyer to draw one up. Yes, they're easy to set up, just like the standard rental agreement from OfficeMax. However, the devil is in the details. Just like in a rental agreement.

Our lawyer said that once he'd generated one for us, subsequent ones would be half price, but he admitted that we could just use the one he generated for us as a template.

It seems a little unusual that the lender is asking you to form an LLC. I'm assuming they still expect you to sign a personal guarantee for the loan. Curious, what's their reasoning behind it?

The reason is important. My wife and I formed a multi-member LLC for several reasons: cost is low in my state ($80), easy to set up and maintain (no yearly costs), some anonymity, as a pass-thru entity it doesn't make our taxes any more complex, and for the liability protection. Out of all those, the only one I could see that would be beneficial to a lender is the last one. Are they afraid that if someone sued you that you'd lose not only the property but also assets titled in your name? If that's the case, maybe would a $1 million liability policy with them as added beneficiaries make them happy?

Or is there some other reason they want you to have an LLC?

I don't like doing things for the sole reason of making other people happy and that create more work for me when an easier/cheaper solution is acceptable. With a liability policy, both you and your lender are protected, and the cost is minimal and may create less hassle for you in the long run. In short, I wouldn't set up an LLC unless there were tangible benefits to me as well. --173.17.xx.xx

It used to be that an LLC was $300, and to fast-track it was $325. Now I think everything defaults to fast-track-online.

So-- the first thing is to double-check your LLC name against all the other people doing business in Texas and make sure you don't conflict. You do the Taxable Entity Search. I had tried forming one that I thought was conflict-free, but there was a large company in a different field I didn't know about that was just one letter's difference, so they try to protect the bigger companies to prevent conflict or misunderstanding. I think I solved the conflict by putting in an extra word or something. But I didn't find that out until they bumped it back to me... and if I have a nonrefundable $325 at stake, I don't want to run the risk of losing it just because I hadn't heard of, say, a popular MRI-manufacturer or a major aluminum extrusion company. (They let me change the submitted name without penalty.)

Your certificate of filing is going to coincide with the Texas Business Organization Code. So if you do a Google search for that term, plus "Certificate of Formation", and check out Sec. 3.005--- those are the elements your filing with cover. But if you want the right boilerplate, you might have to look a little deeper. A lot of it is fill-in-the-blank with your specific information, but some of it is legalspeak. :)

A quick search on the Internet says Incfile will file for $49 plus state fees. Legalzoom will do it for $149 plus state fees.

Don't, don't, don't, don't, don't forget to file your LLC's public information report/no franchise tax due reports every year around May 15th or whenever. :) They'll sometimes send out a notification... but usually not, and it costs $50 if they don't get it. In my state it is all on the state website so no big deal but the problem is you have to advertise in the legal notices of the local paper and if you don't and you put a property in that llc when you go to sell it the title company will have a problem with it so you may not even know you have a problem till you try to sell it,i am not sure how to solve the problem after the fact but make sure you don't have an issue like that.My attorney prepared my first LLC 20 years ago and have done a couple since and have just used the original operating agreement as a template,it wouldn't surprise me if you found a sample online somewhere for free for your state.I think in my state we only need an articles of organization which is on the state website and we are not required to have an operating agreement although it is a good idea --72.231.xxx.xxx

I forgot to mention that I did mine online at the Oklahoma Secretary of State's website.

You may need to get a federal ID # if you don't have one already. Helps to keep your taxes and the LLC's taxes separated.

The Articles are required for forming and filing your LLC with the state.

The Operating agreement is not required but is critical for multiple member LLC's since it reflects the agreement among the members with respect to the affairs and management of the LLC and governs the relationship among the members. The operating agreement basically says none of the LLC owners will perform any work on the place/s in LLC - the whole idea is to insulate you from a lawsuit (mowing grass, painting, repairing a fallen garage door are some of the things that instantly pierce the veil making the LLC useless, you also use an atty for any action at the property - it adds up during an eviction or repairs from security deposit, I suggest following Sid advice to get an overall umbrella risk insurance policy. --76.188.xxx.xx

I currently have a couple of LLCs and will do my next one myself. Sometimes its just knowing how to do it. In NY we must publish the LLC at a cost of $400 for each llc, depends on the county you live in. I also learned you can hire a registered agent to use their address and subsequently move the LLC to a different location. This can save you hundreds in the publication piece. --68.192.xxx.xxx

What is the difference between a member and a manager of an LLC? Which management structure should I choose on my certificate of formation?

A member of an LLC is a person that holds an ownership or membership interest in the LLC. An LLC is always going to have at least one member, but the affairs of the LLC can be managed or governed in one of two ways.

First, the LLC may be governed by its members as a whole. In this situation, every member has management authority. An LLC with this type of management structure is often referred to as a member-managed LLC.

Second, the LLC may elect to have a separate group of managers to manage the affairs of the LLC. The managers of an LLC may or may not also be members.

Thanks everyone for your great input! I run the idea by my accountant. He does not think it is necessary to form an LLC for what we need to do. Reason being, a LLC does not provide as much asset protection as one thinks but adds a lot more to the bookkeeping. He can help to setup an LLC for just $200 plus the state fee. I'd like to know if there is any difference between having a CPA create a LLC as oppose to having an attorney do it. --47.187.xx.xx

Our Operating agreement has to do with management and finances, decision making, what happens in a tie vote, etc. The operating agreement is not used to insulate the members from outside lawsuits it's intended to prevent internal lawsuits. --71.75.xx.xx
